These Terms of Service ("Terms") govern your access to and use of Dilipod's services, including our website, platform, and AI agent services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
Acceptance of Terms
By accessing or using Dilipod, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and contributors of content.
Service Description
Dilipod provides AI-powered AI Employees ("AI Employees") that execute operational workflows on your behalf. Our Service includes:
- Role definition and workflow configuration
- Benchmarking on real scenarios
- Deployment and operation of AI Employees
- Exception handling and reporting
- Ongoing support and refinement
User Account and Registration
To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
User Responsibilities
You agree to:
- Provide accurate and complete information about your workflows and requirements
- Ensure AI Employees have appropriate and authorized access to your systems
- Review and approve exceptions flagged by AI Employees in a timely manner
- Comply with all applicable laws and regulations
- Not use the Service for any illegal or unauthorized purpose
- Not interfere with or disrupt the Service or servers connected to the Service
- Not attempt to gain unauthorized access to any portion of the Service
Service Availability and Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. We do not guarantee that the Service will be available at all times or that it will be error-free.
Intellectual Property
The Service and its original content, features, and functionality are owned by Dilipod and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
Payment Terms
If you purchase a subscription or other paid service:
- You agree to pay all fees associated with your subscription, including any overage charges for executions exceeding your plan's included allocation
- Base subscription fees are billed in advance on a monthly or annual basis
- Overage charges are calculated based on total executions consumed beyond your plan's included allocation and are billed at the end of each billing period
- All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement
- We reserve the right to change our pricing with 30 days' written notice
- Failure to pay may result in suspension or termination of your account
- You are responsible for any taxes, duties, or other charges imposed by your jurisdiction
- Subscriptions automatically renew unless cancelled at least 7 days before the renewal date
- Cancellation requests must be submitted through your account settings or by contacting support
Execution-Based Billing
Each subscription plan includes a monthly allocation of executions. Executions consumed beyond your plan's included allocation are billed as overage at your plan's overage rate. Your plan includes unlimited AI Employees.
Billable executions include activities that directly contribute to executing your workflows:
- AI analysis, reasoning, and decision-making steps
- Browser automation and web interactions
- Autonomous task execution
- Authenticated API calls to third-party services
- Email sending and processing
- File processing and document handling
Non-billable activities are internal platform operations that do not count toward your execution quota:
- Run status updates and internal monitoring
- Metrics logging and analytics
- Document storage and retrieval
- Execution monitoring and health checks
- Usage reporting and dashboard updates
- Quality scoring and automated evaluations
- Automatic retries due to transient errors
Usage alerts are sent when you reach 80% and 100% of your included executions. You can monitor your usage at any time through your dashboard.
Age Restrictions
The Service is intended for users who are at least 18 years of age. By using the Service, you represent and warrant that you are at least 18 years old. If you are using the Service on behalf of a company or organization, you represent and warrant that you have the authority to bind that entity to these Terms.
Third-Party Services
The Service may integrate with or provide access to third-party services, applications, or websites. Your use of such third-party services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or content of third-party services, and you use them at your own risk.
When you authorize AI Employees to access third-party services on your behalf, you grant us permission to access and use your data from those services solely for the purpose of providing our Service. You are responsible for ensuring you have the right to grant such permissions.
Data Processing and Confidentiality
In providing our Service, we may process, store, and transmit data on your behalf. You retain all rights, title, and interest in your data. We agree to:
- Process your data only as necessary to provide the Service
- Maintain appropriate technical and organizational measures to protect your data
- Not access, use, or disclose your data except as necessary to provide the Service or as required by law
- Comply with applicable data protection laws and regulations
You are responsible for ensuring that any data you provide to us complies with applicable laws and that you have the right to process such data.
Service Level and Support
While we strive to provide reliable service, we do not guarantee:
- Uninterrupted or error-free operation of the Service
- That AI Employees will complete all tasks without human intervention
- Specific response times or performance metrics
- Compatibility with all third-party systems or services
Support is provided during standard business hours and may vary based on your subscription tier. We will make reasonable efforts to address issues promptly but do not guarantee resolution within any specific timeframe.
Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DILIPOD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless Dilipod and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.
Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination.
Dispute Resolution
If you have any dispute with us, you agree to first contact us at info@dilipod.com to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, you agree to resolve any claim, dispute, or controversy through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.
You waive any right to a jury trial and agree that any arbitration will be conducted on an individual basis and not in a class, consolidated, or representative action.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Dilipod operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with us regarding the Service, constitute the entire agreement between you and Dilipod regarding the Service and supersede all prior agreements and understandings, whether written or oral.
Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
